Membership Agreement
Terms and Conditions
Term: Your autopay membership will start the date you sign this Agreement and will continue for a period of thirty- six (36) months or until time your autopay membership is terminated or put on hold, a minimum of three full billing cycles (for monthly membership) or 12 weekly payments (for weekly membership), whichever occurs first. To terminate your membership, you must notify memberships@adventusclimbing.com no less than 30 days prior to the expiration date, except as otherwise provided in this Agreement.

Membership Fees
You will pay to us the following amounts for your membership

$40 registration fee for the first household member’s monthly membership

Active or Retired Military 10% off; within a family, the 10% discount is applied to the military individual/s portion.

Credit card users pay 3% surcharge

We reserve the right to increase membership fees with 30 days’ notice.

Freeze Policy: You may “freeze” or pause your monthly membership at any time by notifying us in writing or via email at memberships@adventusclimbing.com. You will be charged a fee of $10/month for each month the membership is frozen. If you choose to terminate rather than freeze your membership, the $40 registration fee will be charged to reactivate your membership. You may also be required to sign a new membership agreement and other related documents to reactivate your membership.

Payment: Fees for monthly memberships are charged on the 4th day of each month, fees for weekly memberships are charged on Friday and annual memberships are charged on the anniversary date of this Agreement. All Membership Fees must be paid by credit card or Automated Clearinghouse (ACH), and you will be required to provide accurate, current, complete, and valid financial information for such purposes including, without limitation, your name, your email, your phone number, your credit card number, the expiration date of your credit card, and your billing address, or your bank routing and account number. If you supply inaccurate or incomplete information, or if we reasonably believe or suspect that such information is inaccurate or incomplete, we have the right to suspend or terminate your Membership until all necessary information is received from you. By providing us such information, you represent and warrant that you have the legal right to use the credit card or bank account in connection with your order, and authorize us to provide the information to payment processing third parties for purposes of facilitating the completion of your order and charge for all applicable fees incurred in connection with your order. You are responsible for reimbursing us for any fees or penalties due to insufficient funds or credit card denials. You are responsible to notify us of any changes to your financial information.

Membership Discounts: Certain membership types may provide a discount for active military service members, students, corporate groups, or other criteria as we may offer from time to time. Member must provide us with sufficient proof of their qualification (as determined by us) for the discount within 10 days from the date you sign this Agreement. If not timely provided, you will not receive the discount and will be charged the standard membership fee for the type of membership selected.

Change to Membership Structure: We reserve the right to change the terms of our Memberships at any time in our sole discretion. In such case, we will notify you at least 30 days in advance of any changes and you must agree in writing to those updated terms to continue your Membership. If you do not agree to the updated terms in the 30-day period, your Membership will be automatically terminated, and a pro rata refund (if applicable) will be provided.
Membership Requirements: You must comply with all requirements established by us for continued Membership, including but not limited to executing a waiver of liability in the form we require, complying with our written and oral safety instructions, completing required training, following general conduct, rules, and other reasonable requirements that we may provide you notice of from time to time.

Termination. This Agreement may be terminated no less than 30 days prior to the expiration date, except as otherwise provided in this Agreement. To terminate your membership, you must notify memberships@adventusclimbing.com. This Agreement may also be terminated upon notice to us, in event of your death or disability, or if you do not agree to any updated Membership terms within 30 days of notice. Additionally, we may terminate this Agreement at any time upon written notice (i) if you fail to comply with any of our requirements for members, which includes but is not limited to written and oral safety instructions, training, execution of waiver of liability form, general conduct, and other requirements; or (ii) you have moved your primary residence more than 25 miles away from our facility or our facility permanently closes or relocates more than 25 miles away from your primary residence, and in either case we are unable to transfer your membership to a facility within 25 miles of your primary residence. You are responsible for notifying us of a move prior to payment processing. If you fail to notify us, a 10% administrative fee will be deducted from payment refund.

Return of Personal Data upon Termination. Within 30 days of your termination of this Agreement, we will return to you all documents containing your personal data.

Refund of Membership Fees: If this Agreement is terminated because (i) of your death or disability, (ii) you have moved your primary residence more than 25 miles away from our facility, or (iii) our facility permanently closes or relocates more than 25 miles away from your primary residence, then we will provide you a refund consisting of the pro rata amount of any unused portion of the fees you paid prior to the termination. Notwithstanding, in the event this Agreement is terminated because you have moved your primary residence more than 25 miles away from our facility without notice, 10% of the pro rata amount of any unused portion of your fees paid prior to termination will be withheld and retained by us as an administrative fee.
Miscellaneous: You affirm that you are at least 18 years of age and are fully able and legally competent to enter into this Agreement and to abide by its requirements. This Agreement may not be transferred or assigned by you but may be assigned by us without restriction. You agree that all matters relating to this Agreement and your Membership shall be governed in accordance with the laws of the state of Ohio, without respect to its conflict of laws principles. This Agreement shall constitute the entire agreement between you and us concerning your
Membership. If any provision of this Agreement is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions, which shall remain in full force and effect. No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
